Terms of use
Terms of use of Back2Flight for buyers.
Version 2026-10-24, effective 24 Oct 2026
1. About these terms
1.1 These terms of use govern the use of the Back2Flight platform, available at back2flight.com, by buyers. The platform is operated by VirtualBridge LLC, a limited liability company organised under the laws of the State of New Mexico, United States (entity number 0008064883), whose registered address is 1209 Mountain Road Pl NE, Ste R, Albuquerque, NM 87110, United States ("Back2Flight", "we", "us").
1.2 By creating a buyer account, you accept these terms on behalf of the organisation you register. You confirm that you are authorised to bind that organisation. Each acceptance is recorded with the version of these terms, its date and the user who accepted.
1.3 Suppliers who list parts, equipment and aircraft on the platform are bound by separate supplier terms. The privacy policy explains how we handle personal data.
2. What Back2Flight is, and what it is not
2.1 Back2Flight is a technical intermediary. The platform shows offers of serviceable aircraft parts and mission equipment, and listings of whole aircraft for sale or for lease, published by independent suppliers; it transmits purchase orders, quote requests and requests from buyers to suppliers, and relays order statuses, documents and messages between them.
2.2 The sale contract, or the lease of an aircraft, is concluded directly between the buyer and the supplier. Back2Flight is not a party to it. Back2Flight does not buy, sell, lease, hold, inspect, store, pack or ship parts or aircraft, and does not provide an aircraft, a crew or insurance.
2.3 There is no payment on Back2Flight. The supplier invoices the buyer directly, and the buyer pays the supplier according to the supplier's payment terms. Back2Flight never receives or holds the buyer's money.
2.4 Back2Flight charges no fee to buyers. Suppliers pay Back2Flight a commission on orders placed through the platform and shipped, and on aircraft sales and leases concluded with buyers introduced through the platform. This commission is not added to the price shown.
2.5 Back2Flight does not take part in the airworthiness of parts or aircraft, in transport or delivery, in customs formalities or in disputes between buyers and suppliers.
3. Who may register
3.1 The platform is reserved for organisations acting for their trade, business or profession, such as maintenance organisations (for example Part-145), aircraft operators, aircraft owners acting for a business purpose, and other organisations that buy aircraft parts, equipment or aircraft for their activity. It is not intended for consumers.
3.2 When registering, you give the legal name of the organisation, its country, its billing address, its VAT number or equivalent, its type of organisation and, if you wish, its approval number. This information must be accurate and kept up to date. An approval number you give is declared by you; Back2Flight does not check it.
3.3 Your email address must be confirmed before your first order or quote request is sent. An email address belongs to a single organisation on the platform.
4. Account, users and roles
4.1 The first user of a buyer account is its admin. The admin may invite colleagues with one of three roles: admin, buyer (may place orders and request quotes) or quality (receives copies of documents and does not order).
4.2 Each user keeps their password confidential. The organisation is responsible for all actions taken through its account and its users. Tell us without delay at contact@back2flight.com if you think your account has been used without permission.
4.3 The admin manages the users of the account and removes those who leave the organisation.
5. Listings and declared information
5.1 Everything shown about an offer or an aircraft listing is declared by the supplier: stock, price, condition, release document, documents listed, photos, lead time, carrier, payment terms, stock location, the supplier's approvals and, for an aircraft, its year, serial number, registration, hours, cycles, time remaining, maintenance status, equipment, price or lease rate and lease terms. Each item is shown as declared and dated, for example "Stock updated" with the date of the supplier's last import that contained the offer.
5.2 Approvals shown next to a supplier (for example Part-145, FAA Repair Station, AS9120, ASA-100, ISO 9001) are declared approvals. Back2Flight does not check, certify or endorse them, and does not check or certify any part, aircraft, release document or traceability document.
5.3 The buyer remains solely responsible for checking that a part, its release document and its traceability documents meet the requirements that apply to the buyer's organisation and to the aircraft, before installation, and for inspecting an aircraft and its records before buying or leasing it. Airworthiness decisions stay with the buyer's organisation and its authorised staff.
5.4 Prices are the supplier's prices, in the supplier's currency, excluding VAT, duties and transport. An amount shown as "approx. €" is indicative only: it is calculated from a public reference exchange rate and is never part of an order or an invoice.
5.5 A supplier may choose to show its prices only to signed-in users. Search results are ranked by how closely the part number or description matches your search, then by the sort you choose (lowest price, using reference exchange rates, or shortest declared lead time). Aircraft listings are shown by category (for sale, for lease) with the filters and sorts shown on the platform. No supplier pays to be ranked higher.
5.6 Partner stock. Some parts are listed by Back2Flight on behalf of a partner company that has agreed to sell them, before that company has its own account. They are shown as "Partner stock" with the country where the part is held. Back2Flight's team handles the order and puts you in contact with that company, which invoices and ships the part. Back2Flight never buys or resells the part.
5.7 Mission equipment. Hoists, cargo hooks, floats and other mission equipment are listed as parts, with a part number, and follow the same rules as parts in these terms.
5.8 Aircraft listings. A listing describes one whole aircraft (helicopter or aeroplane) offered for sale, for lease, or both. All its characteristics are declared by the supplier; Back2Flight does not inspect the aircraft and checks nothing. You contact the supplier of an aircraft by sending a request or a quote request through the listing; it is passed to the supplier with your details, and no order is placed on the platform for an aircraft. The sale, or the lease, is then concluded directly between you and the supplier, on terms you agree with it. Back2Flight is not a party to any sale agreement or lease, and provides neither the aircraft, nor a crew, nor insurance.
5.9 Information reserved to signed-in buyers. Serial numbers, hours and cycles (TSN, TSO, CSN, CSO and time remaining), the number and date of the release document and the preview of documents are shown only to signed-in users with a buyer account. The same applies to the serial number, registration, hours, cycles and documents of an aircraft listing. Everything else about an offer is shown to any visitor, except prices that the supplier chose to show only to signed-in users.
6. Quote requests and requests
6.1 You may request a quote on any offer, in particular one shown without a price, and on any aircraft listing. A quote request gives a quantity and, if you wish, a "needed by" date and a message. It is sent to the supplier, with a copy to you.
6.2 The supplier may answer with a price or a lease rate, an available quantity, a declared lead time and a validity date, or decline. The platform may close a request that receives no answer within the period shown on the platform. You may withdraw a request until the supplier answers.
6.3 A quote is the supplier's offer. For a part or equipment, "Order at this price" creates a purchase order at the terms of the quote, while it is valid. For an aircraft, the sale or lease is concluded directly with the supplier as described in clause 5.8.
6.4 Requests. If you do not find a part, equipment, an aircraft or a lease on the platform, you may leave a request, with or without an account. Back2Flight passes it to the suppliers it selects, without your name, your company or your email address, and tells you when a matching offer is listed. The "Requests" tab of the platform shows an anonymised list of open requests: category, part number or model, quantity, country and date. Your name, company and email address are never shown there and never passed to suppliers from a request. You may withdraw a request at any time with the link in the email confirming it.
7. Orders
7.1 An order covers one offer of a part or equipment, one quantity and one supplier. You give your internal purchase order number, a delivery address and, if you wish, a note to the supplier and an AOG flag. The AOG flag only informs the supplier; it creates no commitment on lead time.
7.2 When you send an order, the price, quantity, currency, incoterm and the supplier's declarations shown at that moment are recorded in the order. A purchase order in PDF is sent to the supplier, with a copy to you and to your quality users. The purchase order contains your organisation's details and your contact details so that the supplier can open your customer account and invoice you.
7.3 The purchase order is your offer to buy from the supplier. The supplier confirms or declines it. A sale contract forms between you and the supplier when the supplier confirms. The terms of sale, invoicing, payment, delivery, warranty and returns are those agreed between you and the supplier, including any terms the supplier states in its confirmation or its own terms of sale. Back2Flight does not set them and does not enforce them.
7.4 The default incoterm is DAP. The supplier may propose another incoterm at confirmation. Transport is shown as "Confirmed by the supplier": its cost, if any, is set by the supplier.
7.5 If you ask for an FAA 8130-3 in addition to the release document of the offer, this is a request to the supplier. The supplier confirms availability and any extra cost in its confirmation.
7.6 When the stock location and the delivery country differ, duties, import VAT and fees may apply. They are not calculated by Back2Flight. Check them with the supplier. Each party is responsible for complying with the export control and sanctions rules that apply to the part, the destination and the end use.
7.7 A supplier may decline an order, with a reason. Either you or the supplier may cancel an order before it is shipped, with a reason; the other party is notified. The consequences of a cancellation after confirmation are a matter between you and the supplier.
7.8 The supplier marks the order as shipped, with a tracking reference or the date of collection by your carrier. You declare receipt with "Mark as received". The platform never marks an order as received on its own. Please declare receipt accurately and only once the part has arrived.
7.9 For an offer shown as "Partner stock" (clause 5.6), the purchase order is sent to Back2Flight's team, which passes it on, with your details, to the partner company that holds the part, once that company has confirmed in writing (by email or messaging app) that it will handle it. That company confirms or declines the order, and the sale contract forms between you and that company as described in clause 7.3.
8. Documents
8.1 Documents attached to an order (for example EASA Form 1, FAA 8130-3, certificate of conformity, logcard, invoice, packing list) and to an aircraft listing (for example specification sheet, logbook extract, inspection report) are uploaded by the supplier. Back2Flight stores and relays them and does not check their content or authenticity. A replaced document stays available as "superseded".
8.2 Previews of documents are reserved to signed-in users with a buyer account (clause 5.9). You use documents received through the platform only for the order or the aircraft concerned, your records and your airworthiness obligations.
9. Messages and problem reports
9.1 Each order has a single message thread between you and the supplier. Messages and attachments are notified by email to the other party. Back2Flight can read the thread and may write in it.
9.2 "Report a problem" adds a message with a reason and a detail to the thread, flags the order and notifies the supplier and Back2Flight. Only the buyer closes a problem, with "Mark as resolved".
9.3 Back2Flight relays messages and does not settle disputes. A dispute about a part, an aircraft, its documents, its delivery, its price or its payment is between you and the supplier, under the law that applies to your sale or lease contract.
9.4 Contact details of the supplier are given in the order. The thread is the default channel, not an obligation.
10. Use of the platform
10.1 You agree not to: give false information about your organisation; place orders, quote requests or requests you do not intend to honour; use the platform to collect data about suppliers, offers or listings by automated means, except through features we provide; interfere with the platform or try to access data of other users; send unlawful, misleading or offensive content.
10.2 Back2Flight keeps the content and structure of the platform. Offer and listing data belong to the suppliers who declared them.
10.3 Orders placed through the platform. Suppliers pay Back2Flight a commission on orders placed through the platform and shipped, and on aircraft sales and leases concluded with buyers introduced through the platform. When you have found a part, equipment or an aircraft and its supplier on the platform, you place your orders for that part or equipment, and conclude the sale or lease of that aircraft, with that supplier through the platform or after a request sent through it, for 12 months from your first order, quote request, request or message to that supplier, and you do not assist a supplier in avoiding its commission. You owe no sum to Back2Flight under this clause; Back2Flight may suspend an account used in breach of it, as described in clause 11.
11. Suspension and closing of accounts
11.1 Back2Flight may suspend or close a buyer account, or a user's access, if the organisation or the user breaches these terms (including clause 10.3), gives false information, or uses the platform in a way that harms suppliers, other buyers or Back2Flight. Except in urgent cases (fraud, security risk, legal obligation), we tell you the reason by email before or when the measure takes effect, and you may reply to contest it.
11.2 Orders already confirmed remain between you and the supplier. A suspension does not end them.
11.3 You may close your account at any time by writing to contact@back2flight.com. Orders, documents and records needed for accounting, legal or dispute purposes are kept as described in the privacy policy.
12. Availability of the platform
12.1 We aim to keep the platform available but do not commit to any level of availability. We may change, suspend or stop features, in particular for maintenance or security.
12.2 Emails sent by the platform may be delayed or not delivered. The order page on the platform shows the current status.
13. Liability
13.1 The platform is provided as it is and as available. To the extent the law allows, Back2Flight gives no warranty about offers, listings, parts, aircraft, prices, lease rates, stock, documents, lead times, suppliers or their approvals, or about the outcome of any order, request, sale or lease.
13.2 Back2Flight is not liable for: the performance of a sale or lease contract by the buyer or the supplier; the condition, conformity, authenticity, traceability or airworthiness of a part or an aircraft; the accuracy of information declared by suppliers; transport, delivery, customs or delays; or any loss of profit, loss of use, aircraft downtime or indirect loss.
13.3 To the extent the law allows, the total liability of Back2Flight towards a buyer under these terms is limited to the total of the amounts the buyer paid to Back2Flight for the use of the platform during the 12 months preceding the event giving rise to the claim. The platform is free for buyers, so that amount is zero unless a paid service is introduced.
13.4 Nothing in these terms excludes or limits liability that cannot be excluded or limited under the applicable law, such as liability for fraud or gross negligence.
13.5 The buyer organisation is responsible for claims of third parties arising from its breach of these terms or the unlawful use of the platform by its users.
14. Personal data
14.1 Back2Flight handles personal data as described in its privacy policy, available on the platform. Your contact details are shared with the supplier of each order or quote request you send, so that it can process it. A request left under clause 6.4 is passed to suppliers and shown on the platform without them.
15. Changes to these terms
15.1 Each version of these terms is dated and kept. We may change these terms. We inform the admins of buyer accounts by email at least 15 days before a new version takes effect. A new version applies to orders, quote requests and requests sent after it takes effect. If you do not accept it, you may close your account before that date.
16. Governing law and courts
16.1 These terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law rules.
16.2 Any dispute between a buyer and Back2Flight about these terms is submitted to the courts of the State of New Mexico sitting in Albuquerque, unless a mandatory rule provides otherwise.
16.3 These terms do not govern the sale or lease contract between the buyer and the supplier.
17. General
17.1 If a clause of these terms is found invalid, the other clauses remain in force. Not exercising a right is not a waiver of it. These terms are written in English; a translation, if any, is for information only.
18. Contact
18.1 For any question about these terms, write to contact@back2flight.com or use the contact page of the platform. Postal address: VirtualBridge LLC, 1209 Mountain Road Pl NE, Ste R, Albuquerque, NM 87110, United States.
